Task 1: Development of main elements/procedures for establishing the ESMS
Develop main elements/procedures for establishing the Environmental and Social Management System (ESMS) including the following:
- “Planning Procedure” – for identification of risks and impacts (including through environmental and social auditing process) and preparation of management programs (including ESAP and the generic and specific ESMPs);
- “Monitoring and Reporting Procedure” – including monitoring and supervision structure, audit guidance, non-conformance, corrective/preventive action, etc – to ensure that effective monitoring and reporting of company activities, that may have impact on the environment, are undertaken on a regular basis;
- “Emergency Preparedness and Response Procedure” – to identify the potential for and to respond to accidents and emergencies, and for preventing and mitigating the environmental and social impacts that may be associated with them.
- “Training, Awareness and Competence Procedure” – to ensure organizational capacity and competency, including guidelines for environmental awareness training of relevant company employees and contractors to ensure personnel have the specific skills, knowledge and competency levels in their roles.
- “Document Control and Record Keeping Procedure” – to describe the procedure for the control of all documentation relating to the ESMS and proper maintenance of environmental and social records.
- “Stakeholders Engagement Procedure (Plan)”, including grievance redress mechanism, – to ensure engagement of affected communities, people, organizations in decision-making process.
- “Communication and Notification Procedure” – to ensure that there is clear communication on ESHS issues within company management, as well as with contractors, community and stakeholders; and a system for receiving, documenting and responding to relevant communication or grievances from external interested/affected parties, based on Stakeholders Engagement Plan.
Task 2: Preparation of ToR and the Scope for the ESHS Audit of the Company
Prepare the ToR for the ESHS Audit of the Company based on corporate profile, main functions, activities, existing procedures and practices. The ToR is developed in compliance with the IFC ESHS Auditing Guidance (IFC ESMS Toolkit – General) and considers the participation of several experts with the active support from company management and personnel.
Task 3: ESHS Audit of the Company
The Consultant (group of experts) undertake the ESHS Audit of the Company – to assess the E&S and H&S impacts and risks related to company’s functions and activities including operation & maintenance, rehabilitation & development. The Audit is be based on the ToR developed by Consultant and agreed with the Client, as well as in compliance with the IFC ESMS Guidelines. The Audit includes the review of existing corporate documents, procedures and practices related to ESHS issues. Upon completion of the audit the Consultant prepares the ESHS Audit Report.
Task 4: Preparation of the Environmental and Social Action Plan (ESAP)
Prepare the Environmental and Social Action Plan (ESAP) based on company corporate business development plans, outcomes of the ESHS Audit, including planning of mitigation measures for reducing the risks and impacts related to company performance, identified by the ESHS Audit.
Task 5: Preparation of generic and specific Environmental and Social Management Plans
prepare the series of generic and specific Environmental and Social Management Plans and Procedures according to ESAP, based on outcomes of the ESHS Audit and the “good international industry practices” (GIIP), in compliance with common IFI performance requirements. These plans include the following:
- “Pollution Prevention and Control Plan”
- “Waste Management Plan”
- “Biodiversity Management Plan”
- “Reinstatement Management Plan”
- “Transport Management Plan”
- “Construction Contractors Management Plan”
- “Water, Energy and Resources Management Plan”

Task 6: Development of ESHS Monitoring Program
Develop the ESHS Monitoring Program to verify the effectiveness of the environmental and social management actions, mitigation plans, ESHS procedures. The Consultant sha;; provide advisory on the internal corporate procedures enforcing the implementation of the ESMS and the ESAP, its monitoring, establishment of ESHS divisions within the company corporate organizational structure.
Task 7: Delivery of Trainings
Prepare and deliver trainings on environmental and social sustainability, ESMS implementation and the ESHS issues for the top management of the company.
